By creating an account, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

1. Acceptance of Terms

1.1 Agreement to Terms

Welcome to Tradejunction. These Terms and Conditions ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," "your") and Tradejunction ("Company," "we," "us," "our") governing your access to and use of the Tradejunction platform, website, applications, and related services (collectively, the "Services").

By creating an account, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

1.2 Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through a prominent notice on our platform. Your continued use of the Services after such notification constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Services.

1.3 Additional Terms

Certain features or services may be subject to additional terms, guidelines, or policies ("Additional Terms"). In the event of a conflict between these Terms and Additional Terms, the Additional Terms will govern with respect to those specific features or services.


2. Definitions

For purposes of these Terms:

  • "Account" means the user account created to access and use the Services.
  • "Admin User" means a user with administrative privileges within a Company Account, including the ability to manage users, settings, and billing.
  • "Company Account" means the multi-tenant account structure that isolates data for each business or organization using the Services.
  • "Customer Data" means any data, information, or content uploaded, submitted, or generated by you through the Services, including but not limited to customer records, orders, products, suppliers, invoices, and business documents.
  • "Platform" means the Tradejunction SaaS CRM platform and all associated software, applications, and infrastructure.
  • "User" or "Standard User" means an authorized individual with access to a Company Account, subject to permissions assigned by an Admin User.

3. Eligibility and Account Registration

3.1 Eligibility

You must be at least 16 years of age to use the Services. By creating an account, you represent and warrant that:

  • You are at least 16 years old
  • You have the legal capacity to enter into binding contracts
  • You are not prohibited from using the Services under applicable law
  • All information you provide is accurate, current, and complete

If you are accessing the Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

3.2 Account Registration

To use the Services, you must create an account by providing:

  • Your first and last name
  • A valid email address
  • A secure password
  • Company information (name, address, VAT number if applicable)

You may also register using OAuth authentication (e.g., Google Sign-In), in which case we will collect profile information from the OAuth provider.

3.3 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach
  • Using strong passwords and enabling multi-factor authentication if available

We are not liable for any loss or damage arising from your failure to protect your account credentials.

3.4 Company Accounts and Multi-User Access

  • Company Account Structure: Each company receives a separate, isolated Company Account. Data is not shared between Company Accounts.
  • User Roles: Company Accounts support two user roles:
    • Admin Users: Full access to account settings, user management, billing, and all CRM features
    • Standard Users: Access to CRM features as permitted by Admin Users; cannot manage billing or invite users
  • User Invitations: Admin Users may invite additional users to join the Company Account via email. Invited users must accept the invitation and create their own credentials.
  • User Responsibilities: Each user is responsible for their own actions within the platform. Companies are responsible for managing user access and permissions.

3.5 Account Information Accuracy

You agree to provide accurate, current, and complete information during registration and to update such information promptly if it changes. We reserve the right to suspend or terminate accounts with false, inaccurate, or incomplete information.


4. Service Description

4.1 Overview

Tradejunction is a Software-as-a-Service (SaaS) customer relationship management (CRM) platform designed for e-commerce merchants, Shopify store owners, and B2B direct sales businesses. The Services enable you to manage customers, orders, products, suppliers, inventory, invoicing, and business operations.

4.2 Core Features

The Services include, but are not limited to:

Customer Management
  • Customer database with contact information, addresses, and notes
  • Contact persons management
  • Customer categorization and tagging
  • Custom fields for customer records
Order Management
  • Create, edit, and track sales orders
  • Order status management (draft, confirmed, partially shipped, shipped, archived)
  • Line item management with pricing, discounts, and tax calculations
  • Order numbering and organization
  • Sales notes and tags
Product and Inventory Management
  • Product catalog with SKUs, descriptions, and pricing
  • Inventory tracking and stock levels
  • Reorder level management
  • Bundle products with component management
  • Product categorization and tagging
  • Supplier linking for products
Supplier Management
  • Supplier database with contact information
  • Purchase order creation and tracking
  • Supplier-specific SKUs and pricing
  • Lead time and minimum order quantity tracking
Invoicing and Financial Management
  • Invoice generation (Pro Forma, VAT Invoice)
  • Quote creation
  • Payment tracking and allocation
  • Prepayment management
  • Tax calculation and VAT compliance
  • PDF document generation (invoices, quotes, packing slips)
Integrations
  • Shopify integration for product and order synchronization
  • E-commerce platform integrations (WooCommerce, Wix, Squarespace, Ecwid)

  • Multi-user access with role-based permissions

4.3 Service Modifications

We reserve the right to modify, enhance, or discontinue any aspect of the Services at any time, with or without notice. We will make reasonable efforts to notify you of material changes that negatively impact functionality.

4.4 Beta Features

From time to time, we may offer beta, pilot, or experimental features ("Beta Features"). Beta Features are provided "as-is" and may be unstable, incomplete, or subject to change. We make no warranties regarding Beta Features and may discontinue them at any time.


5. Subscription Plans and Billing

5.1 Subscription Plans

Tradejunction offers subscription-based access to the Services. Specific plan details, pricing, features, and limitations will be presented during the signup process or made available upon request.

5.2 Fees and Payment

  • Subscription Fees: You agree to pay all applicable subscription fees according to the pricing plan selected.
  • Payment Methods: Payment is processed through third-party payment processors. We do not store your payment card information.
  • Billing Cycle: Subscription fees are billed in advance on a recurring basis (monthly, annually, or as otherwise specified).
  • Automatic Renewal: Subscriptions automatically renew at the end of each billing cycle unless you cancel prior to the renewal date.
  • Currency: All fees are stated in the currency specified during signup (typically USD, EUR, or your local currency).

5.3 Price Changes

We reserve the right to change subscription pricing at any time. Price changes will be communicated at least 30 days in advance via email. Continued use of the Services after the effective date of a price change constitutes acceptance of the new pricing.

Existing subscribers will be grandfathered at their current pricing for the remainder of their current billing cycle. New pricing will apply upon the next renewal.

5.4 Taxes

You are responsible for all applicable taxes, duties, and government-imposed fees (collectively, "Taxes"), except for taxes based on our net income. If we are required to collect or pay Taxes, such amounts will be invoiced to you and you agree to pay them.

5.5 Late Payment

If payment is not received by the due date:

  • We may suspend access to the Services after providing reasonable notice
  • You remain responsible for all unpaid fees plus interest at the rate of 1.5% per month (or the maximum permitted by law)
  • We may charge reasonable costs of collection, including attorneys' fees

5.6 Refunds

Subscription fees are generally non-refundable except:

  • As required by applicable law
  • At our sole discretion in cases of service failure or error
  • As specified in a separate written agreement

If you believe you are entitled to a refund, contact us at info@tradejunction.io within 30 days of the charge.

5.7 Free Trials and Promotional Offers

We may offer free trials or promotional pricing at our discretion. Free trial users are subject to these Terms. At the end of the trial period, your subscription will automatically convert to a paid plan unless you cancel. Promotional offers are subject to specific terms communicated at the time of the offer.

5.8 Cancellation by You

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation will take effect at the end of the current billing cycle. You will retain access to the Services until the end of the paid period. No refunds will be issued for partial billing periods unless otherwise required by law.


6. User Obligations and Acceptable Use

6.1 Compliance with Laws

You agree to use the Services in compliance with all applicable laws, regulations, and third-party rights, including but not limited to:

  • Data protection and privacy laws (GDPR, CCPA, etc.)
  • Intellectual property laws
  • Export control and sanctions laws
  • Consumer protection laws
  • Tax and accounting regulations

6.2 Data Accuracy and Responsibility

You are solely responsible for:

  • The accuracy, quality, and legality of Customer Data
  • The means by which you acquire and upload Customer Data
  • Ensuring you have all necessary rights, consents, and permissions to upload and process Customer Data through the Services
  • Compliance with applicable laws when collecting, storing, and processing personal data of your customers

6.3 Prohibited Activities

You agree not to:

Technical Prohibitions
  • Attempt to gain unauthorized access to the Services, other accounts, or systems
  • Interfere with or disrupt the integrity or performance of the Services
  • Use automated means (bots, scrapers, crawlers) to access the Services without our written permission
  • Reverse engineer, decompile, disassemble, or derive source code from the Services
  • Bypass any security measures, rate limits, or access restrictions
  • Introduce malware, viruses, or malicious code
Content Prohibitions
  • Upload content that is illegal, fraudulent, defamatory, obscene, or violates third-party rights
  • Upload personally identifiable information without lawful basis and appropriate consents
  • Engage in phishing, spamming, or unsolicited marketing
  • Store or transmit content that infringes intellectual property rights
Commercial Prohibitions
  • Resell, sublicense, or redistribute the Services without our written permission
  • Use the Services to provide competitive products or services
  • Frame, mirror, or replicate any portion of the Services
  • Use the Services for benchmarking or competitive analysis without consent
Other Prohibitions
  • Impersonate any person or entity or misrepresent your affiliation
  • Engage in activity that violates the rights of others or is harmful, abusive, or harassing
  • Use the Services for any unlawful purpose

6.4 Enforcement

We reserve the right to investigate suspected violations of these Terms. If we determine, in our sole discretion, that you have violated these Terms, we may:

  • Issue warnings
  • Suspend or limit access to the Services
  • Terminate your account
  • Remove or disable access to prohibited content
  • Cooperate with law enforcement
  • Take legal action

6.5 Reporting Violations

If you become aware of any violation of these Terms, please report it to info@tradejunction.io.


7. Data Ownership and License

7.1 Your Data Ownership

You retain all ownership rights to Customer Data. We do not claim any ownership interest in your Customer Data.

7.2 License to Process Your Data

By uploading Customer Data to the Services, you grant us a worldwide, non-exclusive, royalty-free license to:

  • Store, process, and transmit Customer Data as necessary to provide the Services
  • Create backups and derivative works as needed for service operation
  • Use aggregated, anonymized, or de-identified data for analytics, product improvement, and research

This license terminates when you delete Customer Data or terminate your account, subject to backup retention policies.

7.3 Our Data and Intellectual Property

We retain all rights to:

  • The Services, including all software, algorithms, designs, and documentation
  • Tradejunction trademarks, logos, and branding
  • Aggregated, anonymized, or de-identified data derived from Service usage

You do not acquire any ownership rights to the Services or our intellectual property.

7.4 Data Security and Privacy

We implement appropriate technical and organizational measures to protect Customer Data as described in our Privacy Policy. However, you acknowledge that no system is 100% secure.

7.5 Data Backup and Recovery

  • Your Responsibility: You are solely responsible for maintaining external backups of your Customer Data. We recommend regular exports of critical data.
  • Our Backups: We maintain system backups for disaster recovery purposes, but these are not guaranteed and are not a substitute for your own backups.
  • Data Loss: We are not liable for data loss, corruption, or unavailability, except as expressly provided in a separate Service Level Agreement (if applicable).

7.6 Data Portability

You may export your Customer Data at any time using export features available in the platform. Upon account termination, you have 30 days to retrieve your data before it is permanently deleted.


8. Intellectual Property Rights

8.1 Our Intellectual Property

All intellectual property rights in and to the Services, including but not limited to software, source code, algorithms, designs, text, graphics, logos, icons, images, audio, video, data compilations, and the "look and feel" of the platform, are owned by or licensed to Tradejunction.

These Terms do not grant you any right, title, or interest in our intellectual property except for the limited license to use the Services as set forth herein.

8.2 Trademarks

"Tradejunction" and associated logos are trademarks or registered trademarks of Tradejunction. You may not use our trademarks without our prior written consent. All other trademarks referenced on the platform are the property of their respective owners.

8.3 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Services ("Feedback"), you grant us an irrevocable, perpetual, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Services without any obligation to you.

8.4 Copyright Infringement

We respect intellectual property rights. If you believe content on our platform infringes your copyright, please provide written notice to info@tradejunction.io with:

  • Description of the copyrighted work
  • Description of the infringing material and its location
  • Your contact information
  • A statement that you have a good faith belief that use is not authorized
  • A statement that the information is accurate and that you are authorized to act on behalf of the copyright owner
  • Your physical or electronic signature

We will respond to valid notices in accordance with applicable law.


9. Third-Party Integrations

9.1 Availability of Integrations

The Services support integrations with third-party platforms, including:

  • E-commerce Platforms: Shopify, WooCommerce, Wix, Squarespace, Ecwid
  • Accounting Software: Xero, QuickBooks
  • Other Services: As made available from time to time

9.2 Authorization Required

To enable an integration, you must:

  • Authorize the connection by providing API credentials or OAuth consent
  • Have the legal authority to connect and share data from the third-party platform
  • Comply with the third-party platform's terms of service and privacy policies

9.3 Data Synchronization

Integrations allow for bidirectional or unidirectional data synchronization between the Services and third-party platforms. You are responsible for:

  • Understanding what data is synchronized
  • Ensuring compliance with applicable laws when sharing data
  • Managing and disconnecting integrations as needed

9.4 Third-Party Terms

Your use of integrated third-party services is governed by their respective terms of service and privacy policies. We are not responsible for the practices, content, or availability of third-party services.

9.5 Integration Availability

We do not guarantee the continued availability of any integration. Third-party platforms may change or discontinue their APIs, which may affect integration functionality. We are not liable for any loss or damage resulting from changes to or discontinuation of integrations.

9.6 No Endorsement

Our provision of integrations does not constitute an endorsement of any third-party platform or service.


10. Service Availability and Maintenance

10.1 Service Uptime

We strive to provide reliable and continuous access to the Services. However, we do not guarantee uninterrupted availability. The Services may be unavailable due to:

  • Scheduled maintenance
  • Emergency maintenance
  • Technical failures
  • Third-party service outages
  • Events beyond our reasonable control

10.2 Scheduled Maintenance

We will make reasonable efforts to:

  • Schedule maintenance during off-peak hours
  • Provide advance notice of scheduled maintenance (typically 24-48 hours)
  • Minimize disruption to the Services

10.3 Emergency Maintenance

In the event of a security vulnerability, critical bug, or other emergency, we may perform immediate maintenance without advance notice.

10.4 Service Level Agreement (SLA)

Unless you have a separate written Service Level Agreement with us, we do not guarantee any specific uptime percentage or performance metrics.

10.5 Notification

We may notify you of planned or unplanned service disruptions via:

  • Email to your registered account email
  • In-app notifications
  • Status page (if available)

11. Support and Customer Service

11.1 Support Channels

We provide customer support through:

  • Email support at info@tradejunction.io
  • In-app help documentation and resources
  • Knowledge base and FAQs (if available)

11.2 Support Hours

Support is typically provided during business hours (Monday-Friday, 9:00 AM - 5:00 PM UTC+2), excluding public holidays. Response times may vary based on your subscription plan and the nature of your inquiry.

11.3 Support Scope

Our support includes:

  • Technical assistance with using the Services
  • Account and billing inquiries
  • Bug reporting and troubleshooting
  • Feature questions and guidance

Support does not include:

  • Custom development or programming
  • Training or consulting services (unless separately purchased)
  • Support for third-party integrations beyond our control
  • Restoration of data deleted by you

11.4 Additional Support

Premium support, dedicated account management, or consulting services may be available for an additional fee. Contact us for details.


12. Confidentiality

12.1 Confidential Information

"Confidential Information" means non-public information disclosed by one party to the other, including but not limited to business plans, technical data, customer information, pricing, and proprietary information, whether disclosed orally or in writing and whether or not marked as confidential.

12.2 Obligations

Each party agrees to:

  • Maintain the confidentiality of the other party's Confidential Information
  • Use Confidential Information only for purposes of performing under these Terms
  • Limit disclosure to employees, contractors, and advisors with a need to know
  • Protect Confidential Information with the same degree of care used to protect its own confidential information (but no less than reasonable care)

12.3 Exceptions

Confidential Information does not include information that:

  • Is or becomes publicly available through no breach of these Terms
  • Is lawfully received from a third party without confidentiality restrictions
  • Is independently developed without reference to the other party's Confidential Information
  • Is required to be disclosed by law or court order (with prompt notice to the disclosing party, if permitted)

12.4 Duration

Confidentiality obligations survive termination of these Terms for a period of three (3) years.


13. Warranties and Disclaimers

13.1 Limited Warranty

We warrant that the Services will perform substantially in accordance with the documentation provided. This warranty does not apply to issues caused by:

  • Misuse, unauthorized modifications, or negligence
  • Third-party hardware, software, or services
  • Failure to implement updates or fixes we provide

13.2 Disclaimer of Warranties

  • Implied Warranties: Merchantability, fitness for a particular purpose, title, non-infringement
  • Accuracy: We do not warrant that the Services will be error-free, accurate, complete, or reliable
  • Availability: We do not warrant uninterrupted, timely, or secure access
  • Results: We do not warrant that the Services will meet your requirements or expectations
  • Third-Party Content: We do not warrant the accuracy, reliability, or quality of third-party integrations or services

13.3 No Professional Advice

The Services are not intended to provide legal, accounting, tax, financial, or other professional advice. You should consult with qualified professionals for such advice.

13.4 Your Responsibility

You acknowledge that:

  • You are solely responsible for your use of the Services
  • We are not responsible for decisions you make based on data in the Services
  • You should independently verify critical information

14. Limitation of Liability

14.1 Exclusion of Consequential Damages

  • Loss of profits, revenue, or business opportunities
  • Loss of data or cost of procurement of substitute goods or services
  • Business interruption or loss of goodwill
  • Any other intangible losses

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

14.2 Cap on Liability

  • The total amount paid by you to us in the twelve (12) months preceding the event giving rise to liability, or
  • One hundred US dollars (USD $100)

14.3 Exceptions

The limitations in this section do not apply to:

  • Your breach of Section 6 (Acceptable Use) or Section 7 (Data Ownership and License)
  • Your violation of applicable law or third-party rights
  • Your indemnification obligations under Section 15
  • Liability that cannot be excluded or limited by law (e.g., fraud, gross negligence, willful misconduct)

14.4 Basis of the Bargain

You acknowledge that the fees reflect the allocation of risk set forth in these Terms and that we would not enter into these Terms without these limitations on liability.


15. Indemnification

15.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless Tradejunction, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses (including reasonable attorneys' fees), arising out of or related to:

  • Your use or misuse of the Services
  • Your Customer Data, including any claim that it violates third-party rights or applicable law
  • Your breach of these Terms
  • Your violation of any law or regulation
  • Your violation of third-party rights, including intellectual property, privacy, or other proprietary rights
  • Any claim that your Customer Data caused harm to a third party

15.2 Our Indemnification Obligations

We agree to indemnify, defend, and hold you harmless from and against any third-party claim that the Services, when used as authorized under these Terms, infringe or misappropriate a third party's valid patent, copyright, trademark, or trade secret.

This indemnification does not apply to claims arising from:

  • Your modification of the Services
  • Your combination of the Services with third-party products or services
  • Your use of the Services in violation of these Terms
  • Customer Data or content you upload

15.3 Indemnification Procedure

The indemnified party must:

  • Promptly notify the indemnifying party in writing of the claim
  • Grant the indemnifying party sole control of the defense and settlement
  • Provide reasonable assistance in the defense (at the indemnifying party's expense)

The indemnifying party may not settle any claim without the indemnified party's consent if the settlement requires an admission of liability or imposes obligations on the indemnified party.


16. Term and Termination

16.1 Term

These Terms commence on the date you first access the Services and continue until terminated in accordance with this section.

16.2 Termination by You

You may terminate these Terms at any time by:

  • Canceling your subscription through account settings, or
  • Providing written notice to info@tradejunction.io

Termination is effective at the end of the current billing cycle. You will not receive a refund for the remainder of the billing period unless otherwise required by law.

16.3 Termination by Us

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, if:

  • You breach any provision of these Terms
  • You fail to pay applicable fees
  • You engage in fraudulent, abusive, or illegal activity
  • We are required to do so by law
  • We discontinue the Services (with reasonable notice)

16.4 Effect of Termination

Upon termination:

  • Your right to access and use the Services immediately ceases
  • You remain responsible for all fees incurred prior to termination
  • You have 30 days to retrieve your Customer Data using export features
  • After 30 days, your Customer Data will be permanently deleted from our systems, except as required by law or for accounting records (which are retained for 7 years)

16.5 Survival

The following sections survive termination: Sections 5 (Subscription Plans and Billing - for amounts owed), 7 (Data Ownership and License - with respect to data deletion), 8 (Intellectual Property Rights), 12 (Confidentiality), 13 (Warranties and Disclaimers), 14 (Limitation of Liability), 15 (Indemnification), 16.4 (Effect of Termination), 16.5 (Survival), 18 (Dispute Resolution and Governing Law), and 19 (General Provisions).


17. Modifications to Terms

17.1 Right to Modify

We reserve the right to modify these Terms at any time. When we make changes, we will:

  • Update the "Last Updated" date at the top of this document
  • Notify you via email to your registered account email address
  • Provide notice through the platform (e.g., banner, in-app message)
  • Post the updated Terms on our website

17.2 Material Changes

For material changes that reduce your rights or increase your obligations, we will provide at least 30 days' advance notice.

17.3 Acceptance

Your continued use of the Services after the effective date of modified Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must discontinue use of the Services and may terminate your account.

The current version of these Terms is always available at https://tradejunction.io/terms-conditions or through your account settings.


18. Dispute Resolution and Governing Law

18.1 Governing Law

These Terms and any dispute arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of Estonia, without regard to its conflict of law principles.

18.2 Jurisdiction and Venue

Subject to the arbitration provisions below (if applicable), you agree that any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the courts located in Estonia, and you consent to the personal jurisdiction of such courts.

18.3 Informal Dispute Resolution

Before filing a claim, you agree to contact us at info@tradejunction.io to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith within 30 days.

18.4 Arbitration (Optional - Depending on Jurisdiction)

Note: The following arbitration provision may apply depending on your jurisdiction and applicable law.

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration in Estonia, under the rules of Estonian government.

  • The arbitration shall be conducted by a single arbitrator
  • The arbitrator's decision shall be final and binding
  • Judgment on the award may be entered in any court of competent jurisdiction
  • Each party shall bear its own costs and attorneys' fees

Exceptions: Either party may seek injunctive or equitable relief in court to protect intellectual property rights or confidential information.

18.5 Class Action Waiver

18.6 Time Limitation

Any claim or cause of action arising out of or related to these Terms or the Services must be filed within one (1) year after the claim or cause of action arose, or it will be permanently barred.


19. General Provisions

19.1 Entire Agreement

These Terms, together with the Privacy Policy and any Additional Terms, constitute the entire agreement between you and Tradejunction regarding the Services and supersede all prior or contemporaneous agreements, representations, or understandings, whether written or oral.

19.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

19.3 Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.

19.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms or any rights hereunder without your consent, including in connection with a merger, acquisition, or sale of assets. Any attempted assignment in violation of this section is void.

19.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights except as expressly stated herein.

19.6 Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or internet or telecommunications failures.

19.7 Notices

All notices required or permitted under these Terms shall be in writing and delivered via:

  • Email to your registered account email (for notices to you)
  • Email to info@tradejunction.io (for notices to us)
  • Physical mail to the addresses set forth in Section 20

Notices are deemed delivered when sent via email (if receipt is not rejected or bounced) or three (3) business days after mailing.

19.8 Relationship of the Parties

You and Tradejunction are independent contractors. These Terms do not create any partnership, joint venture, agency, franchise, employment, or fiduciary relationship.

19.9 Export Compliance

You may not use, export, or re-export the Services except as authorized by United States law and the laws of the jurisdiction in which the Services were obtained. You represent that you are not (a) located in a country subject to U.S. government embargo or designated as a "terrorist supporting" country, or (b) on any U.S. government list of prohibited or restricted parties.

19.10 Language

These Terms are drafted in English. Any translation is provided for convenience only. In the event of any conflict between the English version and a translated version, the English version shall prevail.

Section headings are for convenience only and do not affect the interpretation of these Terms.
